China Fruits Corporation (CHFR) is principally engaged in manufacturing, trading and distributing fresh tangerine, non-alcoholic and alcoholic beverages in the People's Republic of China. The Company operates through its wholly owned subsidiary, Jiangxi Taina Nanfeng Orange Co., Ltd. (Tai Na). Tai Na is located in Nan Feng County, Jiang Xi Province. As of December 31, 2009, the Company had two self-owned, one-storey plants at the same location, total area of which is approximately 45,800 square feet. On June 8, 2009, CHFR entered into an equipment and inventory sales agreement (the Agreement) with Nanfeng Huaxia Wuqiannian Ecological Wine Village Ltd. (Huaxia), pursuant to which it has agreed to sell all of its equipment in connection with alcoholic beverage production (the Equipment) and the inventory of alcoholic beverage (the Inventory) to Huaxia.
